Definitions of Terms

Standard Conditions

• Copyright of logos, photographs, maps and other images supplied by the client remain vested with the client.
• Where the client does not own the copyright to these images, the client will be responsible for obtaining permission to use the copyrighted image.
• The overall website and any images or other original work of or by the company will be the copyright of the company.
• Control of the site, where it forms part of a package, will be retained by the company.
• Text for inclusion on the web pages will be supplied by the client.
• The client will warrant that the supplied text is not defamatory, libellous, false advertising, plagiarism or in any other way illegal.
• The layout of the page will be determined by the company although the clients preferences will be taken in to account.
• A deposit of £20 will be required to be paid, following an instruction from the client to the company to commence work on the clients website, hosting or domain name acquisition, before any work, other than an estimate or quotation, is started.
• Packages with a total cost exceeding £200 will not be started until a deposit of 15% of the total price has been received by the company.
• The company will supply an estimate of the total cost following receipt of the clients instructions. This estimate will not form any binding contract on the company.
• A firm quotation on a package price will be supplied on payment of a £10 deposit. this deposit will be non-returnable but will be off-set against the full price should the client place the work with the company.
• Cancellation of an order by the client following commencement of the work, will result in the loss of any deposit paid and any subsequent stage payment to the extent that this covers any work already under development.
• The completed development, or completed stages if this is a requirement, will be made available to the client for approval prior to making the website available to the public on the Internet.
• Upon completion of the contracted development work the client will pay the company a minimum of 80% of the total price before the website becomes live.
• Failure by the client to complete full payment within 3 months of the website becoming live, will result in the removal of the webpages until such time as payment is made.
• Interest on the outstanding amount will be charged at 5% above the prevailing bank base rate.
• Where the company has hosted the website, the client may purchase the right to move the site onto their own host at a reasonable price to be negotiated with the company.
• Initial submission to search engines will be done within one week of the website going live.
• Submission to a search engine does not guarantee listing by that search engine.
• Even if the submission is not refused or ignored by the search engine, some search engines can take up to 2 months to list a website. The company does not guarantee listing within any time limit, although at least one list should be expected within 4 to 6 weeks of submission.
• The obtaining and supply of site statistics by the company to the client will be no more often than once a month unless the client purchases a more regular supply.
• Where a maintenance contract is included in the client's package, the company will provide the client with a maintenance schedule detailing dates and maintenance tasks.
